Social Shorts Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and 1A 2A, LLC, a Wyoming limited liability company ("Company," "we," "us," "our"), which operates Social Shorts (the socialshorts website) (the "Service"). By creating an account, starting a trial, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. These Terms contain a binding arbitration agreement and class action waiver (Section "Dispute Resolution") that affect your legal rights.
1. Eligibility and Accounts
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. Sign-in uses a passwordless "magic link" sent to your email through our authentication provider, Supabase. You are responsible for keeping your email account secure and for all activity under your account. Notify us at cthruos+socialshorts@mail.grokbot.com of any unauthorized use.
2. The Service
Social Shorts is an AI tool that turns long-form audio/video into short, captioned clips for posting on social media. You may submit content as described in Section 2A ("User Content"). We process User Content to generate clips, captions, and related output ("Output").
<!-- BEGIN CONTENT MODEL: own-or-authorized (removable section; Matthew deciding) -->2A. Content Sources ("Own or Authorized")
Default sources. You may submit only (a) files you upload that you own, or (b) videos from your own YouTube, TikTok or Instagram channels that you connect through OAuth, accessed through those platforms' official APIs. We do not download or scrape third-party links, and we do not provide server-side downloaders for any platform.
Creator Program. Content owned by someone else may be used only through our Creator Program, where the rights holder signs a clip license (non-exclusive, platform-limited, revocable for future clips) and provides or authorizes the source files. A Creator Program license may include an optional revenue share or per-view payment to clippers under the Creator License Addendum.
Creative Commons library. We may offer an optional library of content licensed under Creative Commons Attribution (CC BY). Clips from it carry automatic attribution, which the license requires. Do not remove it.
Ownership confirmation. At each submission you must check: "I own this content or have permission from the rights holder to clip and post it."
No unlicensed content. You may not submit content you do not own or have not licensed through the Creator Program or a CC BY license. Giving credit or attribution does not license content and does not make clipping legal. Your rights warranty and indemnity in Section 3 cover everything you submit, including music, performer and publicity rights. Violations may lead to removal and, for repeat infringers, termination under Section 4.
No AI training. We do not use your User Content or Output to train AI models unless you opt in.
<!-- END CONTENT MODEL -->3. Your Content, Rights and Responsibilities
Warranties. For everything you submit, you represent and warrant that you own it or have all rights, licenses, and permissions needed (including from copyright owners, performers, and anyone appearing in it) to let us process it and for you to create, post, and monetize the clips, and that doing so does not violate any law, third-party right (including copyright, trademark, privacy, and publicity rights), or platform terms.
Public content risk. Content being publicly accessible does not mean you may copy or reuse it. If you submit content you do not own, you do so entirely at your own risk.
Fair use not guaranteed. Whether a use is "fair use" (or another exception) depends on specific facts and is decided by courts. We do not determine or guarantee that any clip qualifies as fair use.
Platform terms are your responsibility. Source platforms (e.g., YouTube, Spotify, Rumble) and destination platforms (e.g., TikTok, Instagram, YouTube Shorts, X) have their own terms, which may restrict downloading, copying, or reposting content. Complying with those terms is solely your responsibility. You may submit only content you own or are authorized to use. You may not use the Service to bypass DRM, technical protection measures, or other access controls (17 U.S.C. 1201).
License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transcribe, modify, and display your User Content solely to provide and improve the Service, and not to train AI models unless you opt in. As between you and us, you own your Output to the extent permitted by law; AI output may not be protectable by copyright and may be similar to others' output.
Indemnity. In addition to the general indemnity below, you will defend, indemnify, and hold us harmless from any claim that your User Content, Output, or your posting of them infringes or violates any third-party right, law, or platform terms.
Prohibited content. You may not submit content that is illegal, sexually exploits minors, is non-consensual intimate imagery, harasses, defames, or infringes others' rights.
Retention. We delete source files and generated clips 30 days after your subscription term ends (backups purged within 35 days); download what you need.
4. Copyright Policy and DMCA
We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act, 17 U.S.C. 512.
Send all copyright notices and counter-notices to cthruos+socialshorts@mail.grokbot.com.
Takedown notice. To report infringement, send us a written notice including: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the infringing material and information reasonably sufficient for us to locate it (e.g., URL or clip ID); (4) your contact information (address, phone, email); (5) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement that the information is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner. Under 17 U.S.C. 512(f), knowingly misrepresenting infringement may result in liability for damages. Please consider fair use before submitting.
Our response. Upon a valid notice, we will expeditiously remove or disable access to the material and notify the user who submitted it, with a copy of the notice (which may include your contact details).
Counter-notice. If you believe material was removed by mistake or misidentification, send us a counter-notice including: (1) your physical or electronic signature; (2) identification of the removed material and where it appeared before removal; (3) a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification; and (4) your name, address, and phone number, and a statement that you consent to the jurisdiction of the federal district court for your address (or, if outside the U.S., any judicial district in which we may be found), and that you will accept service of process from the person who submitted the original notice or their agent.
Restoration. We will forward the counter-notice to the original complainant. Unless the complainant notifies us within 10 business days that it has filed a court action seeking to restrain the user, we will restore the material in not less than 10 nor more than 14 business days after receiving the counter-notice.
Repeat-infringer policy. We will, in appropriate circumstances, terminate the accounts of users who are repeat infringers. An account that receives three (3) valid, un-retracted infringement notices (not successfully countered) within 12 months will be terminated, and we may terminate sooner for egregious infringement. Terminated users may not open a new account. We do not refund fees for accounts terminated for repeated infringement, except where the law requires a refund.
Subscriptions, Free Trials and Automatic Renewal
Paid billing is not yet active. When it launches, the following terms apply, and you must agree to them at checkout before any charge.
Free trial. The free trial lasts 7 days, includes 60 processed minutes and 20 clips with no watermark, and requires an email address and a payment card entered through Stripe Checkout. Unless you cancel before the trial ends, your card will be charged automatically the price of the plan you selected when the trial ends and each month thereafter until you cancel. Trials are limited to one per person and per payment method.
Plans and limits. Subscriptions are monthly or annual and include limits on processed minutes and clips as shown on our pricing page: Creator — $29/month: 300 processed minutes, 150 clips, 1 connected account each on YouTube, TikTok and Instagram. Pro — $59/month: 800 minutes, 500 clips, 3 accounts per platform. Studio — $129/month: 2,000 minutes, unlimited clips, 10 accounts per platform, team seats and API access. Annual plans are 30% off the monthly price, billed yearly. Unused plan minutes and clips do not roll over.
Overage. If you exceed your plan limits, you may (a) incur overage charges of $0.10 per processed minute, billed monthly in arrears to your card on file, if you have enabled overage, and/or (b) buy prepaid bundles of 200 minutes for $15, which expire 12 months after purchase. We will show the overage rate before you purchase or incur overage, and you may set an optional monthly spending cap; we will not bill overage above your cap.
Beta and founding members. The beta period runs from November 14, 2026 through December 31, 2026 at the beta prices listed above. Production prices are expected to be about 30% higher from January 1, 2027. Users who subscribe to a paid plan before January 1, 2027 are Founding Members and keep beta pricing for 12 months from their first paid date while their subscription remains active. After the beta, standard prices apply to non-founding members, with advance notice as described below.
Automatic renewal disclosure. Before we collect your payment card, the checkout page will clearly and conspicuously show: (a) that your subscription renews automatically until you cancel; (b) the price and billing frequency (and any trial length and the date the first charge will occur); (c) how to cancel; and (d) any minimum term. You must affirmatively consent (for example, by checking an unchecked box or clicking a clearly labeled button) to these auto-renewal terms before you are charged. We will send you an acknowledgment email after you subscribe that includes the auto-renewal terms, cancellation policy, and how to cancel.
Free trial reminder. If you start a free trial, we will email you a reminder at least 3 days before the trial ends and before your card is first charged, stating the date and amount of the upcoming charge and how to cancel. If you do not cancel before the trial ends, you authorize us (through our payment processor, Stripe) to charge your payment method automatically at the then-current rate on each renewal date until you cancel.
Easy cancellation. You may cancel at any time by emailing cthruos+socialshorts@mail.grokbot.com, or via the Manage subscription link in your account when available. Cancellation takes effect at the end of the current billing period (or at the end of a trial if cancelled during the trial, with no charge).
Price changes. We will give you at least 30 days' advance notice by email of any price change to a renewing subscription, and the change will apply only at your next renewal after the notice period. You may cancel before the change takes effect. Annual subscribers: we will also send a renewal reminder at least 7 days before each annual renewal.
Taxes. Prices exclude applicable taxes unless stated; you are responsible for taxes we are required to collect.
Failed payments. If a payment fails, we may retry the charge and suspend paid features until payment succeeds.
See our Refund Policy for refunds.
Acceptable Use
You will not: (a) break the law or violate others' rights; (b) scrape, crawl, resell, redistribute or commercially republish the Service or its content except as expressly allowed; (c) reverse engineer, probe or attack the Service; (d) share accounts or circumvent usage limits or paywalls; (e) upload malware or unlawful content; or (f) use the Service to build a competing product.
Intellectual Property
We and our licensors own the Service, including software, design and our original content. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose under these Terms. Feedback you send may be used by us without obligation to you.
Third-Party Services and Content
The Service relies on and links to third-party services and content (including the providers listed in our Privacy Policy). Third-party content, trademarks and links are owned by their respective owners; we do not control or endorse them and are not responsible for them. Your use of third-party services is governed by their terms.
AI Features
Parts of the Service use artificial intelligence. AI output may be inaccurate, incomplete, outdated or inappropriate, and may not be unique. You are responsible for reviewing AI output before relying on or using it.
Mailing List
If you opt in to our mailing list, we record your consent and its timestamp. Every marketing email will identify us, We do not currently send marketing emails. Before we do, each will include our valid postal address and an unsubscribe link, and will use accurate header and subject lines. We honor unsubscribe requests within 10 business days. Transactional/account emails (e.g., sign-in links, receipts, trial reminders) may still be sent.
Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you violate these Terms or if required by law, and may discontinue the Service with reasonable notice; if we discontinue a paid Service without cause, we will refund prepaid unused fees on a pro-rata basis. Sections that by their nature should survive termination will survive.
DISCLAIMER OF WARRANTIES
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA OR GOODWILL; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU PAID NOTHING, USD $50). These limits do not apply where prohibited by law.
Indemnification
You will defend, indemnify and hold harmless the Company and its members, managers, employees and agents from any claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms, law, or third-party rights.
Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules, and the Federal Arbitration Act governs the arbitration agreement. Subject to arbitration below, the state and federal courts located in Laramie County, Wyoming have exclusive jurisdiction.
Dispute Resolution; Binding Arbitration; Class Action Waiver
Informal resolution. Before filing a claim, you agree to email cthruos+socialshorts@mail.grokbot.com with a description of the dispute and try to resolve it informally for 30 days.
Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by final, binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for misuse of intellectual property. The arbitration will be seated in Laramie County, Wyoming; hearings may be held remotely or, where the AAA Consumer Rules so provide, in the county where you live. Fees will be allocated per the administrator's consumer rules.
CLASS ACTION WAIVER. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable as to a claim, that claim will proceed in court, not arbitration.
Opt-out. You may opt out of this arbitration agreement by emailing cthruos+socialshorts@mail.grokbot.com within 30 days after first accepting these Terms, with your name and a statement that you opt out.
Mass arbitration. If 25 or more similar demands are filed by or with the help of the same counsel or coordinated group, they will be administered in batches under the AAA's Mass Arbitration Supplementary Rules (or, if unavailable, in batches of up to 100), and the statute of limitations is tolled for demands awaiting a batch.
Changes to These Terms
We may update these Terms. We will post the updated Terms with a new "Last updated" date and, for material changes, notify you by email or in the Service in advance. Continued use after the effective date means acceptance.
Miscellaneous
These Terms (with the Privacy Policy, Refund Policy, Cookie Policy and Disclaimer) are the entire agreement. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We are not liable for delays caused by events beyond our reasonable control.
